Terms of service

These are the ground rules for using Patchlamp and the messaging service (SMS, Telegram, or Discord) that changes your website or menu. They're short because the specifics of each engagement are set in writing before work begins; where that writing and this page differ, the writing wins.

Who these apply to

"We" means Plateful LLC, operating Patchlamp, and Taylor Remund, who runs it. "You" means a client who has bought a Patchlamp plan or engaged Taylor for a build, and anyone that client authorizes to use the messaging service on their behalf. By paying, by texting the service number, or by messaging Patch, you agree to these terms.

The services and prices

What we offer and the published prices are on the pricing page. The managed plan is $250 per month, billed monthly in advance, with a 3-month minimum term and no setup fee. It includes hosting, routine changes made by message, and $200 of usage per month ($600 in the first month). Self-serve builds are fixed-price, quoted in writing. Bring-your-own-assistant access for Plateful restaurants is free; the restaurant's assistant's usage is between them and their provider, and Plateful's own terms apply.

Usage

Usage is what the AI consumed carrying out your requests, measured in dollars at Patchlamp's rate and recorded on the usage ledger as it happens. A small change costs cents of it; a large one costs more. When the month's included usage runs low, Patch tells you and offers $50 of additional usage; nothing is added to your bill unless you say yes. Included usage doesn't roll over; usage you buy doesn't expire and is non-refundable, including unused balance when the engagement ends. When usage runs out and you haven't added more, Patch stops until you do; your website stays up.

The usage ledger is the record. Every message and every generated photo is logged with its cost as it happens. That ledger is the authoritative record of what you were charged; your statement comes from it, and you can ask to see your entries at any time. If you believe an entry is wrong, tell us within 30 days and Taylor reviews it against the log of what Patch did.

Routine changes and projects. Routine changes (dates, hours, wording, photos, menu items, new pages of the kind you already have) are covered by the plan. A full redesign, a new section of a different kind, or a feature that needs an account, money, or a backend (a store, bookings, logins, forms that email someone) is a project, quoted separately in writing before it starts.

Messaging terms

By texting the service number you consent to receive SMS and MMS messages from it in reply. Message frequency varies: you receive replies to the requests you send, plus occasional service notices. Message and data rates may apply. Reply STOP at any time to opt out; reply HELP for help. Wireless carriers are not liable for delayed or undelivered messages. The same rules apply to Telegram and Discord in spirit; see the SMS page.

Authorized senders only. The service responds to phone numbers and Telegram or Discord accounts the client has authorized. You are responsible for every request sent from a number or account you've authorized. Tell us right away if one should be removed. Unauthorized senders get a refusal and no work is done.

Changes go live immediately. There is no preview step. A request from an authorized sender is carried out and published to your live website or menu, usually within a few minutes. Every change is recorded and can be undone: message "undo that" or ask.

What Patch won't do. It works only inside the folder that holds your site and menu; anything outside it is blocked. Anything that needs an account, money, or a real backend is Taylor's work, not Patch's: it tells you so and forwards the request.

What we'll decline. We may decline any request that is outside the agreed scope, that would break the law or someone else's rights, that would publish content we reasonably consider harmful or misleading, or that would compromise the site's security. You'll be told when that happens and why.

Availability. The service runs on equipment we operate. Today that is a machine in Taylor's office, on during his working hours (Mountain time) and off overnight; it is not a 24/7 service, and we don't guarantee any particular uptime or response time. Requests sent by SMS or Telegram while it's off are handled when it's back on; Discord messages sent while it's off need to be resent. If a request can't be completed, you'll be told rather than left waiting, and Taylor is notified. None of this affects your website itself, which is hosted independently and stays up regardless.

Limits. Each authorized sender has a daily cap on messages, and each project has a monthly usage ceiling. Past either, Patch replies that the limit was reached and stops; Taylor is notified. This protects you from a runaway.

Your content

Anything you send to be put on your website must be yours to publish, or you must have permission from whoever owns it. You keep ownership of it. You give us permission to process it and publish it on your site, which is what you asked for. Photos published on a public website are public.

What you own, and what we own

You own your website: its code, its content, and your domain. While we work together, the code lives in a GitHub repository under the Patchlamp organization and is served from there; when the engagement ends we transfer that repository to a GitHub account you control, with instructions for keeping the site and domain up, so you keep all of it and it keeps working. A restaurant's menu, photos, and orders live in its Plateful account under Plateful's terms. We own the tools, templates, and systems used to deliver the service, including the messaging service itself, which is not transferred when we part ways. On self-serve, the AI runs on your own account and stays with you; on managed, the ability to change your site by message ends with the service.

Payment

The managed plan is billed monthly in advance through Stripe, starting the day you pay, for a minimum of 3 months and month to month after that. Cancel any time after the minimum; the current month isn't refunded. Builds are fixed-price, quoted in writing. If a payment is more than 30 days late we may pause the service until it's resolved; your website stays up either way.

No guarantees, and limits on liability

We'll do careful, professional work, but the services are provided as-is. AI can misunderstand a request, and websites and third-party services can fail. To the extent the law allows, our total liability to you for anything arising out of these services is limited to the fees you paid in the three months before the claim, and we're not liable for indirect, incidental, or consequential losses such as lost profits or lost business. Nothing here limits liability that can't legally be limited.

Ending things

Either of us can end the engagement after the minimum term with notice before the next billing date. When it ends, we hand over anything of yours we still hold, transfer your site's repository to you, delete the message logs as described in the privacy policy (the usage ledger is kept as a financial record), and remove your numbers and accounts from the service. Unused purchased usage is not refunded.

Governing law

These terms are governed by the laws of the State of Utah. Any dispute will be handled in the courts of Utah, unless your written agreement says otherwise.

Changes

If these change, the new version goes here with a new effective date, and existing clients are told directly. Changes don't reduce what you were promised in writing already in force.
